Job Description

JOB SUMMARY:   TheCorporate Counsel, NA serves as counsel to ACN’s North American business unit,with operations in the United States and Canada. This role is responsible forworking on assigned legal matters for the North American business unit. Hasbroad-based legal skills and can handle a variety of corporate, commercial,litigation, regulatory, and government affairs matters. Experience in thedirect selling industry and the telecommunications sectors is helpful, but notrequired. Ensures that ACN operates in accordance with legal requirements andethical standards, provides counsel on legal and business issues, ensures legaland regulatory compliance and mitigates risk, and facilitates the strategicgrowth of the Company’s business. Must be highly motivated, solution-orientedand able to offer sound, practical and actionable business advice. Works withthe North American in-house legal team and external advisors to provide a highlevel of service to internal departments.

 

CORE RESPONSIBILITIES: 

•        Manage and work assigned legal mattersfor the North American business unit, including making appropriate use of internaland external resources; provide legally-correct and actionable legal advice,considering multiple inputs and potential legal/business impact of decisions.

•        Negotiate, draft, and advise internalbusiness clients on commercial agreements to ensure that business needs areoptimized and risks are reduced.

•        Manage complex investigations relatingto litigation and regulatory matters. Handle inquiries from governmentalagencies and consumer protection groups on consumer and IBO matters. Managelitigation and arbitration, including advising on litigation strategy, riskmitigation, settlement options, and management of outside counsel. Identify andaddress threatened or potential claims.

•        Monitor, interpret, and apply to ACN’sbusiness, domestic and international regulatory guidance (includingspecifically with respect to advertising, telecom, direct sales and multi-levelmarketing practices).

•        Work closely with the Business Ethicsgroup and assist the Legal department in providing oversight and training froma legal perspective; refine, improve, and manage ACN’s compliance function toensure corporate compliance with marketing policies.

•        Assist with corporate governance andprovide legal assistance in connection with internal operations andinitiatives.

•        Keep abreast of relevant legal andlegislative developments and communicate to stakeholders; raise issues of strategicopportunity or risk to the General Counsel, NA and other NA businessstakeholders; assist with development and implementation of policies for LegalDepartment and company.

 

KNOWLEDGE, SKILLS ANDABILITIES REQUIRED:   

•        Detail-oriented, highly organized, andefficient; a self-starter with an eagerness to learn and expand business andlegal skillsets.

•        Sound, practical and ethical businessjudgment.

•        Excellent oral and writtencommunication skills; a concise communicator; ability to interact with andadvise various departments and levels, including direct interaction with topexecutives.

•        Forward thinker with a proactive mindsetand work ethic who can investigate, identify issues, analyze, apply process, adaptand problem solve.

•        Ability to analyze, interpret, apply,and communicate regulatory guidance and industry practice standards.

•        Ability to manage others and managemultiple projects simultaneously.

•        Ability to navigate issues withgovernment agencies, regulators, and consumer protection authorities.

 

OTHER REQUIREMENTS:  

•        J.D. or LL.M. from an accredited US lawschool.

•        Bar admission in good standing in anyUS state or territory.

•        At least four (4) years of experiencein a role as an attorney; non-legal business experience a plus.
